1. Agreement
These Terms of Service (the “Terms”) govern your access to and use of SOSfinder — our API, dashboard, documentation, MCP server, and free tools (together, the “Service”). By creating an account, requesting an API key, or calling the API, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have the authority to bind it.
2. What the Service does
SOSfinder aggregates business entity records published by United States Secretary of State offices and equivalent state registries, and serves them through a single normalized REST API. A lookup can return an entity's legal name, registration status, formation date, jurisdiction, registered agent, officers, and filing history, subject to what each state publishes.
We are not a government agency
3. Accounts and API keys
3.1 Registration
You need an account to use the Service. You agree to provide accurate information, keep it current, and be responsible for everything that happens under your account.
3.2 Key security
Your API key authenticates every request and is tied to your billing plan. Keep it server-side and secret. Do not embed it in a mobile app, browser bundle, or public repository. You are responsible for usage and charges incurred with your key until you rotate or revoke it in the dashboard. Tell us at support@sosfinder.com immediately if you believe a key has been exposed.
3.3 One account per customer
Creating multiple accounts to obtain additional free-plan lookups is a breach of these Terms and grounds for suspension.
4. Acceptable use
4.1 What you may do
You may use the Service for any lawful business purpose — verifying businesses during onboarding, enriching CRM or lead records, underwriting and diligence, monitoring the standing of entities you do business with, and building products on top of the API.
4.2 What you may not do
- Resell, redistribute, or sublicense raw API responses as a standalone dataset or a competing lookup service.
- Share, sell, or pool your API key across separate businesses or customers.
- Circumvent, interfere with, or misreport usage metering, rate limits, or plan quotas.
- Scrape our website, dashboard, or documentation, or access the Service by any means other than the documented API.
- Probe, attack, or attempt to reverse engineer our systems, or use the Service in a way that degrades it for others.
- Use the Service to harass, stalk, or profile individuals, or in any way that violates applicable law.
5. Data, accuracy, and permitted purpose
5.1 Public records
All data we return originates from public records published by state registries. We normalize and cache it; we do not create it and we cannot correct it. If a record is wrong at the source, it will be wrong in our response — corrections must be made with the state office that maintains the filing.
5.2 No warranty of accuracy
State registries update on their own schedules and occasionally go offline or change format. We do not warrant that results are accurate, complete, or current, and the Service is not a substitute for an official certificate of good standing or a certified copy. You are responsible for verifying anything you rely on for a legal, financial, or regulatory decision.
5.3 Not a consumer reporting agency
SOSfinder is not a consumer reporting agency and the Service is not a “consumer report” under the U.S. Fair Credit Reporting Act (FCRA) or any comparable law. You may not use the Service, in whole or in part, to establish an individual's eligibility for credit, insurance, employment, housing, or any other purpose regulated by the FCRA.
5.4 Caching
We cache results to keep responses fast and to reduce load on state systems. Repeat lookups served from cache within your caching window are not billed. You may cache and store responses within your own application for your own use.
6. Plans, billing, and payment
6.1 Plans
The Service is sold as monthly subscription plans and one-time credit packs. Current plans, included lookup volumes, and per-lookup overage rates are listed on our pricing page, which forms part of these Terms.
6.2 Paddle is our merchant of record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a plan you authorize Paddle to charge your payment method on the billing cycle you selected, until you cancel.
6.3 Renewals and overage
Paid subscriptions are billed in advance and renew automatically each cycle unless cancelled. If you exceed your included lookups, the Service keeps working and the additional lookups are billed at your plan's per-lookup rate at the end of the cycle. Free-plan accounts pause at their monthly limit instead of incurring charges, so you are never billed unexpectedly.
6.4 Credits and rollover
Monthly plan lookups reset at the start of each cycle and do not roll over. Credits purchased in a one-time pack do not expire.
6.5 Taxes
Prices are exclusive of VAT, GST, and sales tax. Paddle calculates and collects any applicable tax at checkout based on your location.
6.6 Changes to pricing
We may change our prices. Changes take effect on your next renewal, and we will give you at least 30 days' notice by email first.
7. Cancellation and refunds
You can cancel at any time from your dashboard; cancellation stops the next renewal. Paid plans carry a 14-day money-back guarantee — see our Refund Policy for the full terms and how to request one.
8. Availability and support
We work to keep the Service continuously available, but we do not guarantee uninterrupted access, and upstream state registries are outside our control. Planned maintenance is announced in advance where practical. An uptime commitment applies only where it is stated in your plan or a signed agreement. Support response times depend on your plan.
9. Intellectual property
The Service — including our API design, normalized schema, documentation, software, and brand — belongs to SOSfinder. You keep full ownership of the applications you build and the data you supply. We grant you a non-exclusive, non-transferable right to use the Service and its responses in accordance with these Terms for as long as your account is in good standing.
10. Suspension and termination
You may close your account at any time. We may suspend or terminate access if you breach these Terms, if your payment fails, or if your usage threatens the stability or security of the Service. Where the situation allows, we will contact you first and give you a chance to fix it. On termination your API keys stop working immediately; Sections 5, 9, 11, and 12 survive.
11. Disclaimers and limitation of liability
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, to the fullest extent permitted by law. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, and nothing here limits any statutory rights you have as a consumer.
12. Indemnity
You agree to indemnify SOSfinder against claims, losses, and reasonable costs arising from your use of the Service in breach of these Terms or applicable law, including any use of returned data for a purpose prohibited by Section 5.3.
13. Changes to these Terms
We may update these Terms as the Service evolves. Material changes are announced by email or in the dashboard before they take effect, and the “Last updated” date above always reflects the current version. Continuing to use the Service after a change means you accept it.
